StazaCare Practice Management Platform

A product of Stazalog (Pty) Ltd, Registration No. 2018/235771/07

These Payment Terms form part of, and must be read together with, the StazaCare Terms and Conditions and the Refund and Cancellation Policy. They set out how Fees are charged, processed, and handled in the event of a failed payment. Capitalised terms not defined in these Payment Terms bear the meaning given to them in the Terms and Conditions.

1. Fees

1.1 There are no differentiated subscription tiers. The Monthly Fee applies uniformly to all subscribing Practices, subject to Clause 6.4 of the Terms and Conditions (fee changes).

1.2 Fees are stated exclusive of value-added tax (VAT). Where StazaCare is required to levy VAT, it will be added at the applicable statutory rate and reflected on the tax invoice issued to the Practice.

2. Accepted Payment Methods

2.1 All Fees are collected through PayFast (Pty) Ltd, StazaCare's third-party payment processor. StazaCare does not itself collect, view, or store the Practice's card or bank account details; these are held and processed by PayFast in accordance with PayFast's own security standards and terms.

2.2 PayFast supports the payment methods it makes available from time to time, which may include debit card, credit card, and instant EFT. The Practice should refer to PayFast's checkout page for the payment methods available at the time of payment.

2.3 The Practice authorises StazaCare, through PayFast, to charge the payment method it provides for the Monthly Fee on the Registration Date, the Payment Day, and any pro-rated top-up date described in Clause 3, and for the early-cancellation administrative fee where applicable, for the duration of the Subscription Term.

3. Billing Date and Invoicing

3.1 The first Monthly Fee is charged on the date the Practice registers for the Platform (the "Registration Date"), as described in Clause 5.1 of the Terms and Conditions, and covers the period of one month from the Registration Date.

3.2 At registration, the Practice selects a day of the month on which it wishes subsequent Monthly Fees to be charged (the "Payment Day"). The Payment Day takes effect from the Practice's second billing cycle onward.

3.3 Where the Payment Day does not fall on the same date as one month after the Registration Date, StazaCare will charge a once-off pro-rated top-up amount on the day immediately following the end of the first month, calculated on a daily basis (the Monthly Fee divided by the number of days in the relevant month, multiplied by the number of days between the end of the first month and the next occurrence of the Payment Day), so as to align future billing with the Payment Day. From the next occurrence of the Payment Day onward, the full Monthly Fee is charged on the Payment Day of each subsequent month for the duration of the Subscription Term.

Example: if a Practice registers on 10 January and selects the 1st of the month as its Payment Day, the first Monthly Fee is charged on 10 January and covers 10 January to 9 February. A pro-rated top-up amount covering 10 to 28 February is then charged on 10 February. Thereafter, the full Monthly Fee is charged on 1 March, 1 April, and so on, on the 1st of each month for the remainder of the Subscription Term.

3.4 Where a calendar month has no date corresponding to the Payment Day (for example, the Practice selects the 31st of the month as its Payment Day), the charge for that month will be processed on the last day of that month.

3.5 The Practice may change its selected Payment Day at any time by written request to stazalog@gmail.com, subject to a further pro-rated top-up or credit being applied, calculated on the same basis as Clause 3.3, to align billing with the new Payment Day.

3.6 StazaCare will issue the Practice with a tax invoice (or, if StazaCare is not registered for VAT, a normal invoice) for each amount charged under this Clause 3, made available to the Practice through the Platform or by email.

4. Failed Payments

4.1 If a scheduled charge for the Monthly Fee is declined or otherwise fails (for example, due to insufficient funds or an expired card), PayFast and/or StazaCare may retry the charge over the following days. StazaCare will notify the Practice by email as soon as reasonably possible after a failed payment, and will remind the Practice to update its payment details with PayFast if necessary.

4.2 If payment is not successfully recovered within 7 days of the date the charge was due (whether the Registration Date, the Payment Day, or the date of a pro-rated top-up under Clause 3.3), the non-payment provisions of Clause 9.2 of the Terms and Conditions apply, and StazaCare may suspend the Practice's access to the Platform on 7 days' written notice from that date, unless payment (or a bona fide dispute of the amount) is received within that period.

Note: the retry mechanics in Clause 4.1 are drafted to align with the existing 7-day non-payment suspension notice in Clause 9.2 of the Terms and Conditions. If a different number of retry attempts or a different grace period is preferred, this Clause 4 should be updated accordingly before publication.

4.3 The Practice remains responsible for keeping its payment details up to date with PayFast to avoid a failed payment and possible suspension of its access to the Platform.

5. Disputed Charges and Chargebacks

5.1 If the Practice disputes a charge in good faith, it should notify StazaCare in writing at stazalog@gmail.com within 20 business days of the charge, setting out the basis of the dispute, before initiating a chargeback or reversal with its bank or card issuer.

5.2 Where the Practice initiates a chargeback or payment reversal without first raising the dispute with StazaCare in accordance with Clause 5.1, and the charge is subsequently found to have been valid, StazaCare may recover the disputed amount, together with any reasonable chargeback or reversal fee levied by PayFast or the Practice's bank, from the Practice.

6. Early-Cancellation Administrative Fee

6.1 Where the Practice cancels its subscription after the initial 7-day refund window described in the Refund and Cancellation Policy, the early-cancellation administrative fee of R2,000.00 (excluding VAT, where applicable) will be charged to the payment method held on file with PayFast within 48 hours of StazaCare receiving the Practice's cancellation request, in accordance with Clause 9.4 of the Terms and Conditions and the Refund and Cancellation Policy.

6.2 If that payment method is declined or fails, Clause 4 of these Payment Terms applies equally to the early-cancellation administrative fee, and StazaCare may retry the charge and, if unsuccessful, pursue payment through any other lawful means available to it.

7. Fee Changes

7.1 StazaCare may change the Monthly Fee from time to time in accordance with Clause 6.4 of the Terms and Conditions, which requires at least 30 days' notice of any increase, no retrospective application to a month already paid for, and no increase during the remainder of a then-current Initial Term without the Practice's consent.

8. Refunds

8.1 Refunds are dealt with exclusively in the Refund and Cancellation Policy. Where a refund is due, it will be processed to the original PayFast payment method within 10 business days of the refund becoming due.
